1. Acceptance of Terms
These Terms of Use (“Terms”) govern your access to and use of the website located at itgrity.ca (the “Site”), including the AI-powered chat assistant Grity, owned and operated by ITgrity Technologies Inc. (“itgrity,” “we,” “us,” or “our”). By accessing or using the Site or Grity, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Site or Grity. These Terms apply to all visitors, users, and others who access or use the Site or Grity.

2. About itgrity
ITgrity Technologies Inc. is a British Columbia corporation providing digital marketing services to small and medium-sized businesses in Canada. Our registered address is Unit #375 – 329 Howe St, Vancouver, BC V6C 3N2.

3. Use of the Site
3.1 Permitted Use
You may use the Site for lawful purposes only, and solely to learn about our services, contact us, or interact with Grity. You agree not to:

• Use the Site in any manner that violates applicable local, provincial, federal, or international law or regulation;
• Transmit any unsolicited or unauthorized advertising or promotional material;
• Attempt to gain unauthorized access to any part of the Site or its related systems;
• Introduce any viruses, malware, or other harmful code;
• Use automated means (bots, scrapers, crawlers) to access or extract data from the Site without our prior written consent;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

3.2 No Account Required
The Site does not currently require you to create an account. You may contact us by submitting our contact form or by interacting with Grity without registering.

4. Grity AI-Powered Chat Assistant
4.1 Nature of Grity
Grity is an AI-powered chat assistant made available on the Site to help you learn about itgrity’s services and to facilitate initial contact with our team. Grity’s responses are generated by artificial intelligence and are intended for general informational purposes only.

4.2 No Professional Advice
Grity does not provide legal, financial, medical, or other professional advice. Any information provided by Grity should not be relied upon as a substitute for consultation with a qualified professional. itgrity makes no representations or warranties regarding the accuracy, completeness, or suitability of any information provided by Grity.

4.3 Consent to Data Collection and Use
By initiating a conversation with Grity, you consent to the collection of your name, phone number, email address, business website URL, and the content of your chat conversation, and to the use of that information as described in our Privacy Policy, including for the purpose of improving Grity’s performance. The above notice is also displayed on the Site directly below the Grity chat interface. Your use of Grity constitutes your agreement to these terms and our Privacy Policy.

4.4 Acceptable Use of Grity
When using Grity, you agree not to:

• Submit false, misleading, or fraudulent information;
• Attempt to manipulate, reverse-engineer, or exploit Grity’s underlying systems;
• Use Grity to generate or distribute harmful, offensive, or unlawful content;
• Submit sensitive personal information beyond what is requested (such as financial account numbers, government identification numbers, or health information).

4.5 No Service Relationship Created
Interacting with Grity does not create a client relationship, retainer, or any contractual obligation on the part of itgrity. Any service engagement is subject to a separate written agreement between you and itgrity.

5. Intellectual Property
All content on the Site, including but not limited to text, graphics, logos, service names (including rank-it, search-it, lead-it, web-it, and social-it), the Grity name and interface, and design elements, is the property of ITgrity Technologies Inc. or its licensors and is protected by applicable intellectual property laws. No party may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Site without our prior written consent. Nothing on the Site grants you any licence or right to use any trademark, trade name, or brand feature belonging to itgrity or any third party.

6. Disclaimer of Warranties
The Site, Grity, and their content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Site or Grity will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information provided on the Site or through Grity. AI-generated responses may contain errors or inaccuracies and should be independently verified before being relied upon.

7. Limitation of Liability
To the maximum extent permitted by applicable law, ITgrity Technologies Inc. and its directors, officers, employees, agents, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Site, Grity, or these Terms, including but not limited to loss of revenue, data, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from or related to these Terms, the Site, or Grity shall not exceed one Canadian dollar ($1 CAD). Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

8. Third-Party Links and Content
The Site may contain links to third-party websites or resources. These links are provided for your convenience only. We have no control over the content, privacy practices, or availability of those sites and accept no responsibility for them. Your use of third-party sites is subject to their respective terms and conditions.

9. Privacy
Your use of the Site and Grity is governed by our Privacy Policy, available at itgrity.ca/privacy, which is incorporated into these Terms by reference. By using the Site or Grity, you consent to our collection and use of your information as described in the Privacy Policy, including the use of Grity chat content for service improvement purposes.

10. Modifications to the Site and Terms
We reserve the right to modify, suspend, or discontinue the Site or Grity at any time without notice. We may also revise these Terms at any time by updating this page. The revised Terms will be effective from the date they are posted. Your continued use of the Site or Grity following any revision constitutes your acceptance of the updated Terms.

11. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms, the Site, or Grity shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada. You consent to personal jurisdiction in those courts.

12. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.

13. Entire Agreement
These Terms, together with our Privacy Policy and any separate written service agreement, constitute the entire agreement between you and itgrity with respect to the Site and Grity, and supersede all prior or contemporaneous communications, representations, or agreements.
